Terms of Service
Welcome to StableState! These Terms of Service govern your use of the StableState DCIM monitoring platform (the "Service") provided by StableState LLC ("StableState," "we," "us," or "our").
1. Definitions
- "Service" means the StableState cloud-based data center infrastructure management (DCIM) monitoring platform, including all features, APIs, integrations, and related services.
- "Customer" / "You" means the individual or entity that has registered for and uses the Service.
- "Device" means any physical or virtual infrastructure component (server, network switch, PDU, UPS, sensor, etc.) monitored via the Service.
- "User" means an individual with credentials to access the Service under your account.
- "Data" means all performance metrics, logs, alerts, configurations, and other information collected by the Service.
2. Service Description
2.1 What We Provide
StableState is a cloud-based, multi-tenant data center monitoring platform built on Microsoft Azure with Microsoft Fabric data architecture that:
- Collects performance metrics (CPU, memory, disk, network, temperature, power, humidity) from your infrastructure
- Displays real-time and historical data via web dashboard with AI-powered insights
- Sends intelligent alerts via email, SMS, Slack, Microsoft Teams, PagerDuty, and other channels
- Generates comprehensive reports on uptime, capacity utilization, trends, and predictive analytics
- Provides REST APIs for integration with third-party tools and custom workflows
- Leverages Azure OpenAI and custom ML models for predictive failure detection and anomaly detection

2.3 Service Availability & Uptime
We commit to maintaining 99.9% platform availability monthly, measured on our Microsoft Azure infrastructure. See our Service Level Agreement (SLA) at https://stablestateit.com/legal/sla for detailed commitments, exclusions, and remedies.
3. User Accounts & Registration
3.1 Account Creation
To use the Service, you must:
- Provide accurate, complete, and current information during registration
- Use a valid business email address
- Create a strong password (minimum 12 characters with complexity requirements)
- Accept these Terms of Service and our Privacy Policy
- Be at least 18 years of age or the age of majority in your jurisdiction
3.2 Account Security
You are responsible for:
- Maintaining password confidentiality and implementing multi-factor authentication when available
- Protecting your account credentials and API keys
- Immediately notifying us at hello@stablestateit.com of any unauthorized access or security breaches
- All activity on your account, whether authorized or unauthorized
- Ensuring all users under your account comply with these Terms
3.3 Account Restrictions
Each account is limited to the number of devices and users specified in your selected service tier. Exceeding these limits may result in additional charges or service suspension until limits are adjusted.
4. Acceptable Use Policy
4.1 Prohibited Activities
You agree NOT to:
Illegal Activity:
- Use the Service for illegal purposes or in violation of any applicable laws or regulations
- Violate export control, sanctions, or data protection laws
- Engage in fraud, hacking, phishing, or unauthorized access attempts
- Transmit malware, viruses, trojans, ransomware, or malicious code
Infrastructure Abuse:
- Launch denial-of-service attacks or similar attacks against StableState or other systems
- Attempt to gain unauthorized access to our platform, servers, or networks
- Reverse engineer, decompile, disassemble, or circumvent our security systems
- Conduct port scanning, penetration testing, or vulnerability testing without prior written permission
- Use the Service to monitor infrastructure you do not own or have explicit permission to monitor
Data Abuse:
- Attempt to access other users' data, accounts, or monitored infrastructure
- Scrape, crawl, or use automated bots to access the Service without authorization
- Export data in violation of these Terms, our Privacy Policy, or applicable law
- Use the Service to store, transmit, or process data that infringes on third-party rights
Commercial Abuse:
- Resell, sublicense, or redistribute the Service without a written reseller agreement
- Use the Service to build a competitive product or service
- Benchmark the Service for competitive purposes without permission
5. Fees & Payment
5.1 Billing
- Monthly subscription fees are billed in advance on the first day of each billing period
- Annual subscriptions are billed upfront and include a 10% discount
- Pricing depends on the service tier selected (Starter, Professional, or Enterprise)
- Additional device or user overages beyond your plan limits are billed at applicable per-unit rates
- All prices are in USD unless otherwise specified in your invoice
- Pricing is subject to change with 30 days' advance notice
5.2 Payment Terms
- Payment is due upon invoice issuance
- Invoices are typically due within 30 days of issuance (net 30 terms)
- Late payments are subject to a 1.5% monthly interest charge (18% APR) or the maximum allowed by law
- We reserve the right to suspend service for non-payment after a 15-day grace period
- You are responsible for all applicable taxes, duties, and government-imposed fees
5.3 Refunds & Cancellations
- Monthly subscriptions may be canceled at any time with 30 days' notice
- Annual subscriptions are non-refundable except as required by law or at our sole discretion
- Upon cancellation, you retain access until the end of your current billing period
- No refunds for partial months or unused services
6. Data Ownership & Privacy
6.1 Your Data
You retain all rights, title, and interest in your monitored infrastructure data, configurations, and content. We do not claim ownership of your data.
6.2 Our Use of Your Data
You grant us a limited license to:
- Store, process, and transmit your data to provide the Service
- Use your data for support, troubleshooting, and service improvements
- Create anonymized and aggregated analytics to improve our platform and AI models
- Backup and replicate your data for disaster recovery and business continuity
6.3 Privacy & Compliance

6.4 Data Security
We implement enterprise-grade security measures including:
- AES-256 encryption for data at rest
- TLS 1.3 encryption for data in transit
- Multi-factor authentication and role-based access control
- 24/7 security monitoring and incident response
- Regular security audits and penetration testing
- Compliance with SOC 2 Type II, ISO 27001, and FedRAMP standards through Microsoft Azure
7. Intellectual Property Rights
StableState retains all rights, title, and interest in:
- The StableState platform, software, source code, and algorithms
- Our logos, trademarks, service marks, and brand materials
- Documentation, user guides, reports, and templates
- AI models, machine learning algorithms, and predictive analytics systems
- Improvements, enhancements, and derivative works based on your feedback or usage
- Aggregated and anonymized data derived from platform usage
Limited License to You:
We grant you a non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms during your subscription period.
Feedback & Suggestions:
Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without compensation or attribution.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
- Our total liability for any claims arising from or related to the Service is limited to the total fees you paid to StableState in the 12 months immediately preceding the claim
- We are not liable for infrastructure failures, data loss, security breaches, or downtime caused by your equipment or systems
- We are not liable for third-party service failures, network outages, or force majeure events beyond our control
- We are not liable for damages resulting from your violation of these Terms or misuse of the Service
State-Specific Limitations: Some jurisdictions do not allow the limitation of certain warranties or liabilities. In such cases, our liability is limited to the maximum extent permitted by law.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties of accuracy, completeness, reliability, or timeliness of data or alerts
- Warranties that the Service will meet your specific requirements or business needs
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties that defects will be corrected or that the Service is free from viruses or harmful code
Critical Systems Warning: The Service is not designed or intended for use in life-critical, safety-critical, or mission-critical systems where failure could lead to death, personal injury, or severe physical or environmental damage. You acknowledge and agree that we expressly disclaim any liability for such use.
10. Indemnification
You agree to indemnify, defend, and hold harmless StableState LLC, its officers, directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your infrastructure, systems, or equipment monitored via the Service
- Your violation of these Terms or applicable laws, regulations, or third-party rights
- Your monitored data, content, or configurations
- Claims by third parties related to your account, users, or use of the Service
- Your breach of any representations or warranties in these Terms
11. Changes to Terms
We may modify these Terms at any time to reflect changes in our Service, legal requirements, or business practices. Material changes will be communicated via email to your registered email address at least 30 days before the effective date. Non-material changes may take effect immediately upon posting.
Continued use of the Service after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Service and cancel your account before the effective date.
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Contacting us at contact@stablestateit.com with at least 30 days' notice
- Requesting cancellation via your account dashboard (if available)
- Calling us at 346-509-9418 during business hours
12.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- You engage in illegal activity, fraud, or abuse of the Service
- You fail to pay after a 15-day grace period following the due date
- We are required to do so by law, court order, or government authority
- We reasonably believe your account poses a security or legal risk
12.3 Effects of Termination
Upon termination:
- Your access to the Service will be immediately disabled
- Your data will be retained for 30 days to allow for export or recovery
- After 30 days, your data will be permanently deleted in accordance with our data retention policies
- You remain liable for all outstanding fees and charges incurred before termination
- Sections of these Terms that by their nature should survive (payment obligations, indemnification, limitations of liability) will continue to apply
13. Governing Law & Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.
13.2 Jurisdiction
Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Racine County, Wisconsin. You consent to the personal jurisdiction of these courts.
13.3 Informal Resolution
Before filing any formal legal action, you agree to first contact us at contact@stablestateit.com to attempt to resolve the dispute informally.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, SLA, and any other referenced policies, constitute the entire agreement between you and StableState regarding the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We are not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, or internet outages.
