Terms of Service

1. Agreement to Terms

By accessing and using the StableState AI Solutions website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

StableState AI Solutions grants you a limited license to access and use our website and services for lawful purposes only. You agree not to:

• Reverse engineer, decompile, or disassemble any code or services
• Attempt to gain unauthorized access to systems or data
• Use our services for illegal or unethical purposes
• Infringe on intellectual property rights
• Harass, abuse, or threaten our staff
• Transmit malicious code or viruses
• Violate any applicable laws or regulations

3. Consulting Services

3.1 Scope of Services

StableState AI Solutions provides expert consulting services in:

• Retrieval-Augmented Generation (RAG) architecture and implementation
• Large Language Model (LLM) fine-tuning and optimization
• Agentic AI systems design and deployment
• Knowledge base engineering and data preparation
• AI-powered helpdesk and support automation

3.2 Statement of Work

Specific deliverables, timelines, and requirements will be documented in a Statement of Work (SOW) or project agreement before engagement begins. Services are limited to those explicitly outlined in the SOW.

3.3 Client Responsibilities

Client agrees to:

• Provide accurate information about requirements and constraints
• Provide timely feedback and approvals
• Maintain secure credentials and API keys
• Comply with all applicable laws regarding data usage
• Respond to status updates and communication within agreed timeframes

4. Payment Terms

• Quickstart Projects: $5,000 due before engagement begins
• Standard Projects: 50% deposit due to begin work, remainder due upon completion
• Enterprise Projects: Terms to be agreed upon in SOW
• Hourly Consulting: $150 development / $250 consulting, billed monthly

Late payments may result in suspension of services. Invoices are due within 30 days of issuance.

5. Intellectual Property

5.1 StableState IP

StableState retains all rights to pre-existing tools, frameworks, methodologies, and knowledge developed prior to or outside of your project.

5.2 Client Data

You retain all ownership of your data, code, and client-specific IP. StableState will not use your data for any purpose other than delivering agreed-upon services.

5.3 Deliverables

Custom code, configurations, and documentation created specifically for your project are your property. You may use them for the purposes intended in the SOW.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Proprietary business information
• Technical specifications and architecture
• Pricing and financial information
• Client data and personal information

Exceptions include disclosures required by law or court order, with reasonable notice to the other party.

7. Limitations of Liability

StableState AI Solutions provides services "as is" without warranties. To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid for services
• We are not liable for third-party service failures (Azure, OpenAI, etc.)
• We are not responsible for data loss due to client negligence

8. Disclaimers

AI systems are probabilistic and may produce unexpected results. StableState:

• Does not guarantee 100% accuracy of AI responses
• Is not liable for AI hallucinations or errors
• Recommends comprehensive testing before production deployment
• Recommends implementing human review processes where appropriate

9. Termination

Either party may terminate services with written notice:

• For Cause: Immediate termination for breach of terms
• For Convenience: 14 days notice, fees apply for work completed
• Upon Completion: Services end upon delivery of agreed deliverables

10. Changes to Terms

StableState may modify these terms at any time. Continued use of services constitutes acceptance of updated terms. Significant changes will be communicated via email.

11. Dispute Resolution

Disputes shall be governed by the laws of Wisconsin and subject to its courts' jurisdiction. Both parties agree to attempt good-faith negotiation before pursuing legal action.
